YuWeTalk User Agreement and Policies
Effective October 18, 2026
YuWeTalk provides an adult-only online service for one-to-one English lessons. This agreement explains the rights and responsibilities of students and tutors, purchases and payouts, privacy, lesson outcomes, conduct, and copyright complaints. The numbered policies below are part of the applicable student or tutor agreement. By registering, accepting the applicable terms, or using the service after notice of the current terms, a user agrees to the provisions that apply to that user. Mandatory rights under applicable law prevail over conflicting terms.
YuWeTalk is a Michigan sole proprietorship operating under the business name YuWeTalk from 22802 Shader, Clinton Township, Michigan 48036, United States. Questions, legal notices, and privacy requests may be emailed to yuwetalk@gmail.com or mailed to that address, with the subject of the request clearly marked. Users should keep their contact details current so YuWeTalk can respond.
1 Student Terms of Service
1.1 Eligibility and account
A student must be at least 18 years old, legally able to enter this agreement, and use only the student’s own account. Minors may not register, purchase time, or participate in lessons. A student must give accurate registration and country information, protect login credentials, promptly report unauthorized access, and update material account details. YuWeTalk may verify identity or age where reasonably necessary and may restrict an account while a concern is investigated. If it learns that a minor has used the service, it will stop access and handle personal information and prepaid value as required by law. A payment card alone is not proof of age.
1.2 Service and limitations
YuWeTalk enables adult students to find approved tutors, buy eligible lesson time, book lessons, enter a live lesson room, exchange lesson-related messages, and review balances and records. Tutors provide the instruction. YuWeTalk does not guarantee a particular tutor, availability, learning outcome, accent, or uninterrupted network service. Students are responsible for an adequate internet connection and compatible equipment. Supported device and browser combinations are identified by YuWeTalk’s current compatibility guidance; a page loading does not itself mean a device is supported for a live lesson. Student camera use is optional.
1.3 Bookings and conduct
Ordinary lessons start on 15-minute boundaries, last any whole number of minutes from 30 through 60, and require sufficient usable minutes and tutor availability. A confirmed booking reserves its scheduled minutes. Neither participant may hold overlapping bookings. The student must check the displayed date, saved timezone, duration, and tutor before confirming. A same-day request extending beyond published tutor availability is offered only if the platform’s eligibility checks pass and the tutor accepts it; a request alone is not a booking. The Conduct Rules in section 7 apply in lessons and throughout the service.
1.4 Purchases and account closure
The Student Purchase, Cancellation, Refund, and Expiration Policy in section 5 governs the available plans, activation, balances, cancellation, renewal, and refunds. YuWeTalk may suspend or close an account for a material violation, safety or security risk, fraud, payment risk, or legal obligation. Where practicable and safe, it will explain the action and offer the review route in section 7. The student may request closure through account support. Closure does not erase records that YuWeTalk must retain for an open booking, dispute, tax or accounting requirement, safety matter, legal claim, or lawful backup cycle. Prepaid rights are resolved under section 5 and applicable law.
1.5 Content and platform rights
Students retain rights in material they submit. They grant YuWeTalk a nonexclusive, worldwide license to store, transmit, display, and process that material only as reasonably needed to deliver, secure, support, and administer the service, resolve complaints, and meet legal duties. A student must have the right to share any submitted or screen-shared material. YuWeTalk and its licensors retain all rights in the platform, software, brand, and supplied lessons. Users receive a personal, revocable right to use those materials only through authorized service features. They may not copy, resell, scrape, reverse engineer, or distribute them except as law permits.
1.6 Service changes and legal terms
YuWeTalk may maintain, improve, or discontinue features. It will not retroactively remove paid lesson rights except to correct error, fraud, a refund or chargeback, comply with law, or apply the recorded plan terms. Material changes to this agreement take effect after notice where required; a completed purchase remains governed by its recorded offer except as mandatory law provides. YuWeTalk provides the service with reasonable care but does not warrant that every connection or third-party system will always work. To the extent permitted by law, YuWeTalk is not liable for indirect or consequential losses, and its aggregate contractual liability for a student claim is limited to the amount the student paid YuWeTalk in the preceding 12 months. This limit does not apply to fraud, willful misconduct, liabilities that cannot legally be limited, or remedies expressly required by law.
Michigan law governs this agreement except where mandatory law of another jurisdiction applies. Unless mandatory law permits or requires another forum, a dispute may be brought in a court of competent jurisdiction in Michigan. Before filing, either party may send a written description of the dispute and allow 30 days for a good-faith response. No user gives up a lawful right to seek relief from a court or regulator. If one provision is unenforceable, the remainder remains effective. No waiver is effective unless written. YuWeTalk may assign this agreement as part of a genuine business transfer subject to applicable law; a user may not transfer an account without consent. Electronic notices may be sent to the account email or displayed in the account; legal notices may also be mailed to the business address above.
2 Tutor Agreement
2.1 Eligibility and independent services
A tutor must be at least 18, legally eligible to provide online tutoring from the tutor’s location, and able to complete required identity, tax, and payout checks. An application does not guarantee approval, bookings, or income. Tutors provide services as independent contractors, not employees, partners, franchisees, or agents of YuWeTalk. Tutors choose when to make themselves available and may teach for other platforms or private clients. YuWeTalk does not assign standing shifts, promise minimum work, provide employee benefits, or reimburse ordinary equipment and connection expenses. A tutor supplies a suitable computer, internet service, camera, microphone, and teaching space. The parties’ actual conduct and applicable law, not this label alone, determine legal classification.
2.2 Availability and accepted bookings
Tutors may publish and change future availability using the platform. Once a booking is accepted or confirmed, the tutor must honor its scheduled start and end unless a valid cancellation, emergency, or platform rule applies. A tutor must review the student, time, timezone, duration, and any special booking condition. Tutors may accept or decline optional eligible same-day extensions; silence does not accept one. Tutor equipment and browsers must meet YuWeTalk’s approved lesson-room requirements. A tutor should enter in time to begin at the scheduled start and remain until the scheduled end. The tutor camera should be on while functional, but a genuine camera failure with usable audio is handled under section 8 rather than automatically treated as absence.
2.3 Payment, taxes, and expenses
The starting rate is US$10 per hour unless a different rate is agreed and recorded for a booking. Section 6 controls payable seconds, the pay-week review and weekly payout schedule, the US$20 standard threshold, fees, corrections, final settlement, and supported Stripe or Wise routes. Tutors bear their own ordinary equipment, internet, tax, licensing, and business expenses except where law requires otherwise. YuWeTalk may obtain tax and identity information and make legally required reports or withholding. A tutor must not provide inaccurate payout details or ask another person to receive a payout in evasion of verification rules.
2.4 Student information and confidentiality
Student names, contact details, lesson content, live video and audio, private messages, booking and payment information, and YuWeTalk nonpublic operations are confidential. A tutor may access and use them only to deliver authorized lessons or resolve an approved support matter. The tutor may not copy, retain, disclose, sell, record, or use them for personal solicitation or unrelated purposes without lawful authorization. The tutor must use reasonable security measures, limit access to the tutor alone, promptly report suspected unauthorized disclosure, and return or delete nonpublic information when the engagement ends unless law requires retention. Duties concerning personal information and trade secrets survive termination for as long as the information remains protected by law; other confidential information remains protected for five years. Lawfully compelled disclosure is permitted after prompt notice to YuWeTalk where lawful.
2.5 Teaching materials and intellectual property
YuWeTalk retains its pre-existing curriculum, grammar guides, vocabulary lists, software, branding, and other supplied materials. The tutor receives a limited, nonexclusive, nontransferable, revocable license to use them solely to prepare for and conduct authorized YuWeTalk lessons and related follow-up through the platform while engaged. The tutor retains pre-existing material identified as such before submission and grants YuWeTalk a nonexclusive worldwide license to use that material when incorporated into an authorized lesson, solely to operate the service and serve the relevant students.
For original lesson materials the tutor creates specifically for YuWeTalk through assigned or accepted platform work, the tutor hereby assigns to YuWeTalk, upon creation and to the extent legally assignable, all worldwide copyright and other transferable intellectual-property rights for the full term of protection. The agreed compensation includes consideration for this assignment. The tutor will provide reasonable further assistance to confirm title. The assignment does not include the tutor’s general skills, ideas, independent materials created outside that work, or third-party content. The tutor must identify third-party material and secure necessary rights before using it. To the extent moral rights cannot be assigned, the tutor consents to YuWeTalk’s reasonable editing and use of assigned work where lawful.
2.6 Safety, responsibility, and indemnity
The tutor must follow section 7, avoid unauthorized recordings and off-platform solicitation, and comply with applicable law. YuWeTalk does not require a tutor to purchase commercial general-liability insurance as a condition of joining. To the extent permitted by law, the tutor will defend and indemnify YuWeTalk against third-party claims and reasonable costs caused by the tutor’s material breach, unlawful act, gross negligence, or willful misconduct, excluding the portion caused by YuWeTalk’s own conduct. YuWeTalk will promptly notify the tutor of a claim, permit reasonable participation in the defense, and will not agree to a settlement imposing nonmonetary duties on the tutor without consent. This promise is not insurance and does not remove YuWeTalk’s independent obligations.
2.7 Ending the agreement and review
Either party may end future participation on seven days’ written notice through account support or the account’s registered email. YuWeTalk may suspend access immediately for a serious safety or security concern, fraud, sanctions issue, or material breach, and may terminate immediately for a material breach that cannot reasonably be cured. Where cure is appropriate, YuWeTalk may give written notice and a reasonable opportunity to cure. The parties will address already accepted future bookings by cancellation or reassignment under platform rules. An account deactivation is a platform-administration decision, not an employee disciplinary process. A tutor may request written internal review within 14 days of notice. YuWeTalk’s internal decision is final within that process but does not eliminate statutory rights.
The tutor remains entitled to all completed and otherwise contractually payable work through the effective termination time, including later corrections under attendance and outage rules. No compensation accrues for prospective lessons not provided. YuWeTalk will provide a final itemized statement and initiate payment of undisputed earned amounts within 30 days after termination, without a minimum threshold, subject to lawful verification and provider availability. A disputed item will be resolved promptly and paid if owed. Confidentiality, earned-payment duties, intellectual-property rights, and clauses intended by nature to survive remain effective.
3 Privacy Policy
3.1 Scope and adult only service
YuWeTalk collects and uses personal information to operate its adult-only English-learning website and related student, tutor, payment, and support features. It does not knowingly offer accounts or lessons to people under 18. If YuWeTalk learns that a minor supplied personal information, it will restrict the account, investigate, and delete or otherwise handle the information as law requires. A checkbox or card payment is not conclusive proof of age.
3.2 Information collected and sources
Information may include names, usernames, email, optional phone number, country, timezone, password credentials in protected form, profile photos, tutor biography and introduction video, application and approval records, identity and tax-verification status, bank or wallet routing details held or transmitted for payout, purchase and receipt records, booked times, availability, messages, support communications, and reports. YuWeTalk receives payment status and limited transaction identifiers from its payment provider but does not collect raw card numbers on its own pages. It also receives technical and security data such as IP address, browser and device information, cookies, login events, error logs, and authenticated video-provider join and leave events. Information comes from users, their devices, other lesson participants, service providers, and administrative review.
3.3 Uses and legal grounds
YuWeTalk uses information to create and secure accounts; assess tutor applications; show profiles; schedule and deliver lessons; verify purchases; allocate and restore minutes; calculate attendance and tutor earnings; send necessary messages and receipts; make payouts; prevent fraud and abuse; investigate complaints; protect people and systems; maintain backups; meet tax, accounting, sanctions, and legal duties; and improve service reliability. Depending on applicable law, these uses rest on performance of an agreement, legal duty, legitimate interests, or consent where required. YuWeTalk does not sell personal information or use lesson audio or video for advertising, AI training, or unrelated profiling under this policy.
3.4 Media and visibility
Live audio, video, and permitted screen sharing pass through the approved video provider to deliver a lesson. Routine cloud recording and transcription are disabled. YuWeTalk retains authenticated attendance metadata and incident evidence, not a routine video archive. Student profile images use a generic avatar by default; a custom image is not public merely because it was uploaded and becomes visible only under the platform’s approved visibility controls. Tutor introduction videos are reviewed by an administrator before public display. Processing a card through Stripe is not, by itself, proof of adult status. Users may not independently record lessons except under section 7.
3.5 Sharing and international transfers
YuWeTalk shares information as needed with hosting and database providers, the live-video provider, email and support providers, Stripe for checkout or eligible payouts, Wise for eligible payouts, financial institutions, security tools, and professional advisers. Other participants see only information needed for profiles, bookings, lessons, and reports. YuWeTalk may disclose information to comply with law, protect safety, investigate wrongdoing, or handle a genuine business transfer. Information may be processed in the United States and in countries where tutors and providers operate. YuWeTalk applies contractual and technical safeguards appropriate to the information and applicable law.
3.6 Retention and security
YuWeTalk retains account and lesson data while an account is active and afterward for the time reasonably needed for financial records, payout reconciliation, disputes, safety investigations, security, backups, and legal obligations. Ordinary unreported chat is generally removed after 30 days; reported chat and directly related evidence may be held longer while a matter remains open. Records of attendance, purchases, payouts, corrections, and consent may be kept longer where necessary to prove or resolve rights and obligations. A user may request the retention basis for a particular category. YuWeTalk uses access controls, secure transport, protected credentials, provider authentication, backups, and administrative audit records, but no system is risk-free. Users should report suspected compromise promptly.
3.7 Choices, requests, and changes
Users may correct ordinary profile information in account settings and request access, correction, deletion, restriction, or other rights available under applicable law by email to yuwetalk@gmail.com or by mail to 22802 Shader, Clinton Township, MI 48036. YuWeTalk may verify identity and explain lawful exceptions. Closing an account does not automatically delete records needed for an open matter or legal duty. YuWeTalk will provide any required opt-out or appeal procedure for a jurisdiction in which it operates. Material policy changes will be posted with a new effective date and communicated or accepted separately when law requires.
4 Cookie Notice
4.1 Essential technologies
YuWeTalk uses browser cookies and similar storage needed for sign-in, session continuity, request-forgery protection, account security, and core site operation. The browser may report its timezone so a user can compare it with the saved display timezone. Payment and video providers may set their own strictly necessary cookies when their features are opened. Blocking essential cookies can prevent login, secure forms, checkout, or lesson access.
4.2 Optional technologies and control
YuWeTalk does not currently use advertising cookies or cross-site behavioral advertising under this notice. If it adds optional analytics or advertising technologies, it will update this notice and offer consent or opt-out controls where required before activating them. Users can delete or block cookies in browser settings, subject to the functional effects above. The Privacy Policy explains related personal-information handling. Cookie questions may be sent through account support or to the business address above.
5 Student Purchase Cancellation Refund and Expiration Policy
5.1 Plans and activation
YuWeTalk sells lesson time in U.S. dollars. A student’s card provider may apply its own currency conversion or fee. YuWeTalk activates a plan only after authenticating the payment provider’s confirmation for the correct order, amount, currency, and plan; returning from checkout alone does not create minutes. The recorded checkout offer controls that purchase, subject to applicable law. The current plans are: 60-Minute Flex Pack, US$5 for 60 minutes during the controlled live test; 300-Minute Flex Pack, US$85 for 300 minutes; 600-Minute Flex Pack, US$160 for 600 minutes; and Four-Week Practice Plan, US$96 for 90 minutes in each of four consecutive personal seven-day periods, up to 360 minutes total. The three Flex Packs are one-time purchases available for 90 days after verified payment. The Four-Week Practice Plan is one-time unless the student separately selects automatic renewal every four weeks at US$96. Automatic renewal is never preselected.
5.2 Booking and balance
Ordinary private lessons last any whole number of minutes from 30 through 60. A 35-minute or 50-minute lesson may be booked when the tutor offers it and the student has enough usable minutes. Confirming a booking reserves its minutes. Reserved minutes are consumed only after the final chargeable outcome is determined under section 8. To avoid stranded ordinary time, the platform blocks an ordinary booking that would leave an unusable balance of 1 through 29 minutes when a permitted duration can instead leave zero or at least 30 minutes. When multiple eligible balances exist, the entitlement expiring soonest is applied first under platform rules. A plan’s minutes do not guarantee a particular tutor or number of lessons.
5.3 Recovery and small balances
Verified tutor-caused lost teaching time may create Recovery Minutes under section 8. For a YuWeTalk or approved video-provider failure, unused reserved minutes are instead released to their original entitlement. Recovery Minutes are corrections, not a new purchase, and are available for 30 days after issuance or until the source plan expires, whichever is later. They may replace minutes reserved from an eligible purchase according to allocation rules. An ordinary lesson cannot be booked for fewer than 30 minutes solely because a small balance remains. If an eligible plan closes with 1 through 29 usable minutes, YuWeTalk may open one 30-day Final Balance Lesson window. A balance of 15 through 29 minutes allows a lesson of exactly that duration; a balance of 1 through 14 minutes receives a one-time complimentary addition sufficient for a 15-minute lesson. The lesson must fit available tutor time and the displayed booking conditions and cannot use the same-day availability-extension route.
5.4 Cancellation and interruption
A student cancellation more than 12 hours before the scheduled start releases reserved minutes to their original entitlement, subject to its existing expiration. A cancellation within 12 hours consumes the scheduled minutes and produces any tutor compensation specified by section 6. Rescheduling is permitted only while advance-notice, tutor availability, balance, and conflict checks pass; it preserves the original audit history. A verified complete tutor no-show releases the full reservation to its original entitlement with its original expiration and creates no separate Recovery Minutes. Tutor lateness and participant or platform interruptions are resolved under section 8. Conflicting or missing evidence may place the outcome in administrator review without an automatic charge.
5.5 Four week allocation and renewal
The Four-Week Practice Plan starts upon verified payment. Its first seven-day period begins then; three consecutive personal seven-day periods follow. Each provides 90 minutes. Unused minutes do not roll over. A one-time plan ends after its fourth period and does not charge again. A student who affirmatively selects renewal authorizes a US$96 charge every four weeks until the student turns it off in the account’s purchase history. Turning off renewal stops future charges but does not remove paid time or extend weekly windows. A failed or unverified renewal does not create new time. The next charge date and renewal terms are shown before selection; the student should turn renewal off before that charge is processed.
5.6 Expiration, refunds, and disputes
Unreserved Flex Pack minutes expire 90 days after verified payment; unused Four-Week Practice Plan minutes expire at the end of their respective seven-day period. Minutes reserved for a lesson with an unresolved outcome remain protected until resolution. No expiration provision overrides a longer right or refund required by applicable law. Purchases are not automatically refundable after activation except where law requires, YuWeTalk cannot provide the purchased service, or YuWeTalk approves a correction. A student may request review of a duplicate, mistaken, unauthorized, or service-failure charge through account support, identifying the purchase and reason. YuWeTalk will examine payment and usage records, explain the decision and any partial-use calculation, and return approved funds to the original method when practicable. A refund may reduce corresponding unused minutes, but YuWeTalk will not silently remove minutes from an unresolved booking. A chargeback or dispute may temporarily hold related unused time to prevent duplicate use; it is not proof of wrongdoing. Processor and bank timing govern when a refund appears. YuWeTalk will honor any mandatory cancellation, refund, or prepaid-value protection in the purchaser’s jurisdiction.
6 Tutor Compensation and Payout Policy
6.1 Rate and payable time
A tutor’s starting rate is US$10 per hour unless YuWeTalk and the tutor agree to another rate. The rate applicable to a booking is recorded when that booking is confirmed. Earnings are calculated from verified payable seconds at the recorded hourly rate and rounded to U.S. cents. At US$10 per hour, 30 payable minutes earn US$5.00, and a qualifying 10-minute student no-show wait earns US$1.67.
Payable time is determined under the Attendance, No-Show, and Technical-Interruption Policy below. Opening a dashboard, loading a page, sending chat, changing camera or microphone settings, or remaining connected without participating does not by itself create payable time. Pay does not continue after a lesson’s scheduled ending. Tutor-caused disconnected time is not payable; verified YuWeTalk or approved video-provider outages are treated under section 8.
6.2 Earnings review and weekly payout
Pay weeks run Monday through Sunday in Michigan local time. Earnings from lessons in a pay week are held through the following complete Monday–Sunday pay week and first enter payout review on the second Monday after the lesson week ends. For example, lessons taught October 5–11, 2026 enter review October 19 for a Thursday, October 22 receipt target, with Friday, October 23 as the latest target. This interval allows YuWeTalk to resolve attendance evidence, reports, calculation errors, disputes, and permitted adjustments. The standard payout threshold is US$20 in matured, undisputed earnings for every tutor, regardless of country. There is no US$100 country-specific minimum. Amounts below US$20 remain in the tutor’s balance and carry forward to the next weekly review; they are not forfeited. YuWeTalk may pay a smaller balance at its discretion. After the agreement ends, YuWeTalk will settle all earned, payable amounts without applying the US$20 threshold, subject to lawful identity, tax, sanctions, and payment checks.
YuWeTalk aims for the tutor to receive each payable week’s funds on the scheduled Thursday, and no later than the following Friday, but this is a target rather than a guarantee. Processing and delivery depend on available settled funds, the selected provider, recipient institution, verification, holidays, and any permitted hold. YuWeTalk must review provider delivery estimates early enough to initiate the transfer for that target and promptly notify the tutor of a known delay. YuWeTalk provides an itemized account of earnings, adjustments, fees, and transfers and will investigate a missing or failed payout. Submitting a transfer does not mark an earning paid; payment is recorded only after provider confirmation. A failed or returned transfer remains owed and will be reissued through an available approved route after recipient details are corrected.
6.3 Payout routes and charges
YuWeTalk pays through Stripe where the tutor’s country, account, recipient type, and YuWeTalk’s provider permissions support a lawful payout. Where Stripe is unavailable, YuWeTalk may use Wise Business if the particular currency and recipient route are supported and the required verification is complete. YuWeTalk may use another lawful provider after notifying the tutor. A tutor is not required to open a Wise account when the selected Wise route pays directly to an eligible bank account or supported wallet. No provider or delivery method is guaranteed in every country. If no compliant route is available, YuWeTalk will not initiate a new paid tutoring arrangement in that country and will work in good faith to settle any already-earned amount through a lawful route.
Tutor compensation is stated in U.S. dollars. For a supported Wise payout to a tutor in Kenya or Malawi, the tutor bears the provider’s disclosed transfer and currency-conversion charges: YuWeTalk sends the tutor’s gross earned amount as the transfer’s U.S.-dollar funding amount, and the quoted charges reduce the amount converted and received. For example only, a US$100.00 gross earning and a US$3.00 provider charge would leave US$97.00 to convert at the quoted rate. Before a payout, YuWeTalk will make available the provider’s quoted charge, conversion rate, and expected receiving-currency amount when supplied; it will not silently reduce an earning or represent a gross earning as the amount guaranteed to arrive. Actual charges and exchange rates vary by route and time. Receiving-bank or wallet charges outside YuWeTalk’s control may also apply and will be disclosed when known. Legally required withholding is shown separately. A payout cannot be reduced below a legally protected amount. YuWeTalk may decide to absorb international payout charges in the future, but no change applies until the revised terms and payout calculations are communicated and implemented.
6.4 Tutor information, taxes, and records
The tutor must supply accurate recipient, identity, tax, and country information and promptly update it. YuWeTalk may delay a transfer while legally required verification or a specific fraud, sanctions, or payment investigation is pending, and will give notice where lawful and practicable. The tutor is responsible for the tutor’s own taxes and business expenses except where YuWeTalk must report, withhold, or pay under applicable law. YuWeTalk retains payout and supporting records as required by law and its Privacy Policy.
7 Community and Lesson Room Conduct Rules
7.1 Respect and boundaries
YuWeTalk is an adult-only English-learning service. Students and tutors must be at least 18 years old, use their own accounts, and treat each other respectfully. Tutors must keep instruction professional and lesson-related. Students may not pressure tutors to provide non-tutoring services. No participant may substitute another person in a lesson or contact another user outside YuWeTalk for payment, harassment, or evasion of these rules.
7.2 Prohibited behavior
Users may not threaten, harass, stalk, discriminate unlawfully, sexually exploit, intimidate, impersonate, or defraud anyone; request payment credentials or unnecessary personal information; falsify qualifications, bookings, attendance, reports, or evidence; introduce malware or probe or bypass platform security; infringe another person’s intellectual-property or privacy rights; or use chat, profiles, video, or screen sharing for unlawful or abusive purposes. Users may not expose another person’s sensitive information or recruit a minor to use the service.
7.3 Privacy, recording, and reports
Participants must keep passwords, financial details, private documents, and unrelated notifications off shared screens. A participant may not secretly record, photograph, capture, publish, or distribute lesson audio, video, chat, or screen content. Any recording requires YuWeTalk’s prior written authorization and legally valid consent from everyone affected. YuWeTalk does not enable routine lesson recording or transcription at launch. A user may report a safety, privacy, copyright, or conduct concern through YuWeTalk’s account support channel. Reports must be made in good faith; knowingly false or retaliatory reports violate these rules.
7.4 Enforcement and review
YuWeTalk may remove content, limit a feature, pause a lesson outcome, suspend an account, or terminate access when reasonably necessary to protect users, enforce these rules, or comply with law. Urgent safety or security action may precede notice. When practicable, YuWeTalk will give the affected user a reason and an opportunity to submit a written review request by email to yuwetalk@gmail.com or through the account support channel within 14 days. The internal decision does not waive any non-waivable legal right. Financial corrections remain governed by the purchase, attendance, and payout policies; an account action alone does not forfeit an earned tutor payment or a student right required by law.
8 Attendance No Show and Technical Interruption Policy
8.1 Evidence and lesson timing
YuWeTalk determines attendance from authenticated video-provider join and leave events or a specifically approved substitute. It reconciles duplicate, delayed, overlapping, and out-of-order events into verified presence intervals. Dashboard access, page loads, chat, speaking, screen sharing, and camera or microphone status do not independently establish presence. A student may participate with the camera off. If evidence is incomplete or conflicting, YuWeTalk holds the financial outcome for administrator review rather than automatically charging the student or paying the tutor.
A lesson room may open five minutes before its scheduled start. Media access ends at the exact scheduled ending, including for back-to-back bookings. YuWeTalk may allow up to 120 seconds afterward for evidence to settle in the background; this does not extend the lesson, student time, or tutor pay. Verified ordinary attendance consumes scheduled student minutes and pays verified tutor presence up to the scheduled ending, once only.
8.2 Student absence
A student no-show is established only when the student never has a verified join and the tutor remains continuously present for the first 10 minutes. YuWeTalk then consumes the full reserved student time and pays the tutor for 10 minutes at the booking’s recorded rate. If the tutor disconnects during that 10-minute wait or leaves early, the system does not automatically apply the student-no-show charge or waiting pay; the matter is reviewed. A late student may join while the room remains open, but the scheduled end does not move.
8.3 Tutor lateness, absence, and interruption
A tutor who first joins before the 10-minute mark may teach only until the original scheduled end and is paid for verified payable presence. Tutor-caused lost teaching time may be restored to the student as Recovery Minutes. A tutor’s first join at or after 10 minutes is refused. A verified complete tutor no-show releases the student’s full reservation to its original entitlement with its original expiration, creates no separate Recovery Minutes, and creates no tutor earning.
A tutor may reconnect within three minutes and continue if the lesson remains open, but disconnected seconds are not paid. YuWeTalk combines clearly tutor-caused unavailable seconds across the lesson and rounds the total once to whole Recovery Minutes. A genuine tutor-camera failure does not by itself establish absence or stop a lesson when audio works; the tutor should try to restore video within three minutes. Deliberate or repeated camera disabling is a conduct issue. A student-side connection problem does not extend the lesson; the outcome follows the verified evidence and applicable purchase terms.
8.4 Platform outage, corrections, and review
A verified YuWeTalk or approved video-provider outage is treated separately from participant fault. If no lesson took place because of the outage, the student’s reserved minutes are released and the tutor is not paid. If part of the lesson took place, the student is charged only for verified minutes actually tutored, unused reserved minutes are released, and the tutor is paid only for those same verified minutes. Uncertain cause or duration is reviewed before financial entries are finalized. Recovery Minutes issued for other eligible outcomes remain available for 30 days after issuance or until the source plan expires, whichever is later, and may replace purchased minutes reserved for an eligible future lesson under the platform’s allocation rules.
An administrator may examine authenticated events, normalized intervals, incident reports, relevant chat, connection diagnostics, and provider outage information. A correction must state its reason and preserve an audit trail. Users may submit a written outcome-review request through account support within 14 days after notice of the outcome. YuWeTalk will correct an error, restore time, or pay an amount owed when supported by the evidence or required by law. No repeated reconciliation may duplicate a charge, credit, earning, or payout.
9 Copyright Complaint Policy
9.1 Rights and notices
Users may submit or show only content they created, have permission to use, or may lawfully use. A copyright owner or authorized agent who believes material on YuWeTalk infringes a copyright may email a written notice to yuwetalk@gmail.com or mail it to YuWeTalk at 22802 Shader, Clinton Township, MI 48036, identifying it as a copyright complaint. The notice must identify the copyrighted work and the allegedly infringing material with enough detail to locate it; provide the sender’s name and contact information; include a physical or electronic signature; state a good-faith belief that the disputed use is not authorized by the owner, its agent, or law; and state under penalty of perjury that the notice is accurate and the sender is authorized to act for the owner.
9.2 Review and response
YuWeTalk will review a reasonably complete complaint and may request missing information, preserve evidence, remove or disable access to identified material, and notify the affected user as appropriate. Removal of content does not automatically change a lesson’s financial outcome. A user who believes material was removed by mistake or misidentification may send a signed counter-notice to the same address identifying the material and its former location, stating under penalty of perjury a good-faith belief that removal was mistaken, providing name, address, and telephone number, and consenting to the federal-court jurisdiction and service-of-process terms required by 17 U.S.C. section 512(g). YuWeTalk will forward a valid counter-notice and restore material in the statutory period when required and no qualifying court action is reported.
9.3 Repeat infringement and other claims
YuWeTalk may terminate accounts of repeat infringers in appropriate circumstances after considering valid notices, counter-notices, retractions, court orders, and mistakes.
